Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Basecomp platform, operated by Basecomp Ltd (company number 12656598), registered in England and Wales ("Basecomp", "we", "us", or "our").

By registering for an account or using the platform in any capacity, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

1. What We Provide

Basecomp provides software tools that enable businesses ("Merchants") to create, manage, and run prize competitions and promotional draws. We provide the technology infrastructure — ticket sales, draw management, winner selection, transparency verification, and storefront software.

Basecomp is not the promoter, operator, or organiser of any competition run on the platform. Each competition is run entirely by the Merchant whose store hosts it. Basecomp's role is limited to providing the software platform.

2. Accounts

To use Basecomp as a Merchant, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must be at least 18 years old and legally capable of entering into binding contracts under the laws of your jurisdiction.

3. Merchant Responsibilities

If you use Basecomp to run competitions, you are the Promoter of those competitions and are solely responsible for:

• Ensuring your competitions comply with applicable UK law, including the Gambling Act 2005 and any regulations applicable to prize competitions and promotional draws
• Structuring competitions correctly — either as skill-based competitions or competitions with a free entry route that is clearly accessible, genuine, and equal
• Publishing accurate prize details, ticket pricing, draw dates, and terms and conditions on your storefront before sales open
• Fulfilling prizes to winners promptly and in accordance with your published terms
• Handling customer disputes, refund requests, and complaints
• Complying with data protection law as the data controller for your customers' personal data
• Maintaining any necessary licences, registrations, or permissions required for your competitions

4. Prohibited Uses

You must not use the Basecomp platform to:

• Run competitions that constitute illegal lotteries under the Gambling Act 2005 (i.e., paid-entry, chance-based competitions with no genuine free entry route)
• Mislead entrants about prize values, odds, draw dates, or the nature of the competition
• Operate a competition you do not intend to run to completion or for which you cannot fulfil the prizes
• Engage in fraud, money laundering, or any other unlawful activity
• Target individuals under the age of 18
• Misrepresent your identity, business, or the prizes offered
• Violate the intellectual property rights of any third party
• Interfere with, damage, or impair the platform or its infrastructure

We reserve the right to suspend or terminate any account that, in our reasonable judgement, violates these provisions or otherwise brings the platform into disrepute.

5. Payments and Billing

Basecomp subscription fees are billed in advance on a monthly or annual basis depending on the plan you select. All billing is processed via Stripe. You authorise us to charge your payment method on each applicable billing date.

Ticket payments made by customers on your storefront are processed by Stripe on your behalf and paid out directly to your connected bank account. Basecomp does not hold or collect customer ticket payment funds.

Platform fees (where applicable per your subscription plan) are deducted as described in your plan terms. Fees are non-refundable except where required by law or agreed in writing.

6. Intellectual Property

Basecomp and its licensors own all intellectual property rights in the platform, including software, designs, trademarks, and documentation. These Terms grant you only a limited, non-exclusive, non-transferable licence to use the platform for its intended purpose.

You retain ownership of content you create and publish on the platform, including raffle descriptions, prize images, and store branding. By uploading content, you grant us a non-exclusive, royalty-free licence to host and display that content as necessary to provide the service.

7. Availability

We aim to maintain high availability of the platform but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where reasonably possible. We are not liable for losses arising from temporary unavailability.

8. Disclaimers and Limitation of Liability

The platform is provided "as is" and "as available". To the maximum extent permitted by applicable law, Basecomp disclaims all warranties, express or implied, including as to merchantability, fitness for a particular purpose, or non-infringement.

Basecomp is not liable for:

• The legality of any competition run by a Merchant on the platform
• Prize fulfilment, disputes, or failures between Merchants and their customers
• Any indirect, incidental, special, or consequential loss arising from use of the platform
• Any loss arising from reliance on the platform for business-critical decisions without independent verification

Our aggregate liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to Basecomp in the three months immediately preceding the claim.

Nothing in these Terms limits liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

9. Indemnity

You agree to indemnify and hold harmless Basecomp Ltd, its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: your use of the platform; competitions you operate; content you publish; or your breach of these Terms.

10. Termination

Either party may terminate the agreement at any time by giving written notice. We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or if we are required to do so by law or a competent authority. Upon termination, your access will cease and we will handle your data in accordance with our Privacy Policy.

11. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will give at least 30 days' notice by email or in-platform notification before they take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
